1 Page |1 BIOGRAPHY ERIC E. MARIN BACKGROUND: Mr. Marin has worked in the Management Consulting industry for over 22 years in the domestic and international arenas. In that time, he has worked for, led and founded advisory practices in the Oil and Gas, Mining and Healthcare sectors. Hes a hard-working, team-building and strategic- thinking steward of building company value and has held various key roles reflecting these attributes as summarized below: Present: Client Services Partner for Tatum. Hes the Houston market leader focused on providing advisory services for company CEOs, CFOs and CIOs. He is responsible for developing business, developing strategies that create new markets, cultivating client relationships, building and stewarding the delivery team, and managing margins and goals for the Houston market. He helps companies improve EBITDA, prepare for Initial Public Offerings, raise capital, prepare for sale, address company downturns, utilize technology efficiently, and foster an effective workplace. Sixty percent of Tatum clients are E&P companies and related service provider companies. The rest constitute various healthcare, construction, restaurant and manufacturing companies. Since taking on this role, hes on target to double revenues to $4MM and increase profitability by 40%. 2013 2015: Managing Partner for MFH Capital LLC. He founded this privately held capital group, which was responsible for developing and executing deals in real estate and oil and gas. He was responsible for developing the deals, including developing business cases and pro formas, creating pitch books, defining capital structures, bringing in capital, participating in road shows, building management teams, identifying and assessing projects, and negotiating and closing deals. 2 Page |2 2008 2013: Managing Partner for MFR Consulting. R&M Global Advisors, a firm he founded in late 2008 offering advisory services to companies in South America, merged with MFR PC, a 25 year Houston-based accountancy, in early 2012, creating a 130- employee, $35MM consultancy specializing in Board, CEO and CFO advisory services for the Energy, Mining and Healthcare sectors. He helped company management and boards with corporate strategy, acquisitions, financial performance, operational performance, and top-line revenue strategies. As with previous roles, he was responsible for building the organization, setting vision and strategy, developing business, establishing client relationships, and building and leading effective teams. He sold the company in late 2013. 2006 2008: VP Energy Marketing for Quorum. He built and led a $10MM business unit for a $50MM energy company (later sold to Private Equity for more than $300MM). This business unit focused on providing gas and liquids marketing solutions to the Upstream and Midstream sectors. He was responsible for growing the business unit, setting vision and strategy, building a delivery and sales team, managing profitability, and managing client relationships. 2003 2006: President and CEO of Marin Management Services. He founded and built this $2MM medical practice management company in 2003 and sold it three years later. He provided office and management support services for medical doctors. While the MDs practiced medicine, Marin Management Services ran the business, including billing, CPT coding, financial reporting, bookkeeping, benefits management, payroll, performance evaluations, business systems management, sales and marketing, and regulatory compliance. 1996 2003: Partner for Accenture. He built and managed a $45MM book of business and led management consulting services for Fortune 100 companies in the Energy practice, including merger of organizations; integration of processes and talent across various organizational functions; and integrating large transformational programs in ERP, supply chain, E&P field systems, E&P back-office systems, Midstream operations, human resources, change management, governance, talent management and IT. KEY ADVISORY ENGAGEMENTS: Assisted CEO of a major oil and gas Midstream company with a Reduction in Force and vendor optimization program while achieving a $30MM run rate savings over three years. Worked with CEO and CIO to merge the entire organizations of two oil and gas Majors. Worked with CFO of a Super Major to merge the Finance and Accounting (F&A) operations of the acquired Major. Assisted a $2B refinery services company in its acquisition of a major competitor. Worked with the CFO to integrate F&A budgeting, closing, fixed assets and other F&A processes and provided purchase price accounting and Working Capital true-up services. Provided interim CFO services for a US-listed company with operations in Peru. Responsibilities included oversight of corporate financial performance and budgeting, development of growth strategies, acquisitions and integrations, optimization of business processes, development of internal controls, establishment of accounting processes and policies, oversight of SOX activities, and development and review of SEC reports. Also assisted CEO with corporate strategy, risk planning and capital raise. Advised a multibillion dollar Brazilian ethanol producer with transportation and storage strategies. Advised a multi-billion Brazilian Energy utility with advisory services in strategy, technology and best practices for its newly found operations in gas exploration and production.
